What it is

Accredited investor verification is the step where an investor proves they qualify: by income, net worth, a professional license or a minimum investment. The rule asks the sponsor to take “reasonable steps” to verify. DoorRaise runs the steps, keeps the evidence and tells you when each investor is cleared.

How it works

  1. 1

The investor picks a way to prove it

A letter from their CPA, attorney or adviser, a Series 7, 65 or 82 license, income documents, net worth documents, or an investment of $200,000 or more (in a company or trust, $1 million).

  2. 2

    We do the checking

We email their adviser a short form, check licenses with FINRA and read documents. Many are done the same day.

  3. 3

    It carries over

A verification stays good for new commitments for 90 days, so an investor does not start again for the next deal.

  4. 4

You see a status, not their paperwork

Your pipeline shows who is verified. The documents stay with DoorRaise.

How it creates value

  • Your exemption is protected

Taking money from someone who does not qualify under 506(c) can cost you the exemption for the whole raise.

  • Investors are not insulted by it

A simple, private, one-time step is easier than a sponsor asking for tax returns.

  • Faster closings

Verification runs alongside everything else instead of at the end.

Why you need it

A public raise brings in strangers. The only thing between a stranger’s money and your exemption is whether you verified them properly.

Accreditation checks for 40 investors, typically

$2,000 to $4,000

Ranges from published law firm, investor-software and CPA pricing, for a deal with about 40 investors. On DoorRaise it is part of the flat fees below.

Without it

  • Asking friends for their tax returns yourself
  • Holding sensitive documents on your own laptop
  • No consistent standard, so no defense if it is questioned

With DoorRaise. Covered by the $500 setup fee, which includes accreditation checks on every investor. See pricing.

Questions

How long does it take?

It depends on the route. Investing $200,000 or more verifies on the spot, a letter from an adviser is usually same day, and a license check is usually within one business day.

Who sees an investor’s documents?

DoorRaise staff and the verifier. Sponsors only see whether the investor is verified.

What about non-accredited friends?

Under Rule 506(b), a private deal can include a limited number of non-accredited investors who know the sponsor. Public deals are for verified accredited investors only.
