A legal company for every deal, formed for you
We form the LLC that will own your deal and keep it separate from everything else you do, then track the order until the state accepts it.
Free to start. You pay nothing until you submit a deal.
Prepared for you
5 of 5
- Legal company (LLC) formed
- Operating agreement
- Investor documents
- Form D filing
- Investor tax documents (K‑1s)
What it is
Each DoorRaise deal is held in its own limited liability company (LLC). Investors own shares of that company, and the company owns the property. We place the order with a formation service, follow it until the state accepts it and tick “company formed” on your checklist when it does.
How it works
1
You submit your deal
The name, the state and the people in the company come from your answers.
2
We place the order
The order goes to a filing service, and we track its status.
3
The state accepts it
We tick “company formed” on your checklist and save the filed documents with your deal, so they are in one place.
4
The next steps follow
The investor documents, the Form D, the escrow account and the bank account all use the company, so they build on it.
How it creates value
Your personal assets stay separate
A company created just for the building keeps one deal from touching your other holdings.
Investors own something real
They hold shares of the company that owns the property, and the documents say exactly what they get.
No waiting on a lawyer’s queue
We start the filing the day you submit.
Why you need it
Everything else in a raise hangs on the company: it signs the documents, files the Form D, opens the bank account and receives the property.
Forming a deal’s company, typically
$500 to $1,500
Ranges from published law firm, investor-software and CPA pricing, for a deal with about 40 investors. On DoorRaise it is part of the flat fees below.
Without it
- A separate attorney or service to hire, brief and chase
- Filings that are rejected for a typo and cost days
- A company whose state records do not match your documents
With DoorRaise. Covered by the $500 setup fee. See pricing.
Questions
Which state is my LLC formed in?
You choose it when you submit the deal. Many sponsors use the state where the property is, and your attorney can advise on your own situation.
Is DoorRaise a law firm?
No. We handle formation, filings and tax documents. We cannot give legal advice about your own situation.
Can I use a company I already have?
The documents and filings assume a company formed for the deal, so a new one is the simplest path. Ask us at support@doorraise.com if yours is different.
Ready to raise your first deal?
Create your free sponsor page. You don’t need a deal yet.
DoorRaise checks facts, like identity and the property documents. We don’t pick, rank or recommend deals, and we don’t promise returns. DoorRaise isn’t a law firm and can’t give legal advice about your own situation. Offers on DoorRaise are open to accredited investors only.
