What it is

A raise needs a stack of documents: the private placement memorandum (PPM) that describes the offering, and for each investor a subscription agreement, the company’s operating agreement with a joinder, and a short investor questionnaire. DoorRaise fills them in from your deal, with the template’s attorney approval on record, then sends them to each investor to sign electronically.

How it works

  1. 1

The documents are written for your deal

The price, the fees, the split and the dates come from the deal page, so the documents and the page cannot disagree.

  2. 2

    An attorney reviews the offering

The templates are approved by counsel, and a daily check confirms the approval matches the version in use.

  3. 3

    Investors sign online

After they verify as accredited, investors read and sign on their phone or laptop. You countersign.

  4. 4

    Everything is saved

Signed copies, who opened what and when are kept in the investor’s vault and in yours.

How it creates value

  • Weeks of back and forth, gone

Investors can commit the same evening they decide.

  • One source of truth

The documents are generated from the same numbers as the deal page.

  • A record that stands up

Every signature is timestamped, with the electronic-signature consent on file.

Why you need it

Questions

Who signs first?

The investor signs, then a sponsor countersigns. Wire instructions appear only once the documents are countersigned and the investor’s checks are clear.

Can I change the terms of the documents?

The templates are fixed, so that counsel’s review stays valid. Terms such as price, fees and split come from your deal.

Can investors get paper copies?

Yes. The e-sign consent explains how to ask for them and how to withdraw consent.
