Questions
What is a Form D?
A short notice about a private offering that a sponsor files with the SEC on EDGAR after the first sale in a Regulation D raise, including 506(b) and 506(c) raises. It says who is raising, how much, and which exemption the raise relies on.
When is it due?
15 calendar days after the first sale. If the 15th day falls on a weekend or a federal holiday, the due date moves to the next business day. The calculator does that for you.
What counts as the first sale?
The date the first investor is irrevocably contractually committed to invest. Depending on your documents, that can be the day an investor signs the subscription agreement, which can be earlier than the day money moves. Ask your securities attorney which date applies to your deal.
Do states need a notice too?
Usually, yes. Most states want a notice filing within about 15 days of the first sale in that state, with a fee, but the deadlines and fees differ by state. Check each state where you have an investor, or ask your filing service.
What if I miss the date?
File as soon as you can and talk to your securities attorney. Late filings can cause problems with states and with later offerings.
Does DoorRaise handle this?
Yes. DoorRaise works out the Form D and state notice dates for every deal, prepares the filing from your deal’s details and reminds you before each one is due.
A general guide to the filing date, not legal advice. Dates assume United States federal holidays and the Rule 503 timing. Confirm with your securities attorney. DoorRaise is not a law firm.
