Keep your attorney’s documents

Questions from sponsors who have raised before

Do you take a share of the raise?

No. DoorRaise charges $1,500 setup, $5,000 at closing, $3,500 a year, and never a percentage of the money raised or of the deal’s profits. The closing fee is paid only if the deal closes.

Can I use my securities attorney’s documents?

Yes. Upload your own offering documents as PDFs after you submit the deal. Investors see them as yours, not DoorRaise’s. DoorRaise checks them automatically for the protections investors need (it is not a legal review) and adds its platform add-on for escrow, fees, e-signature, investor states and the payback of your setup and state fees.

Do I need new investors?

No. DoorRaise is not a marketplace and does not supply investors. You bring the people you already know, and we handle everything from their sign-up to their payouts.

Who holds the money?

Investors wire to an escrow account at Enterprise Bank & Trust, an FDIC-insured bank. You do not touch it before closing, and it earns no interest for investors. If the raise does not close, investors get 100% of their investment back.

Which rules does the deal use?

Rule 506(c) by default, so you may promote it publicly within our posting rules, or Rule 506(b) if you raise only from people you already have a real relationship with. DoorRaise is not a law firm. Talk to your own attorney about your situation.

Are there other fees?

State filing fees are extra and charged at cost. By default you pay up front only for the property’s state. When an investor from another state signs, we file there too: you advance that state’s fee, and investors from that state wire it with their investment to the deal’s company, so you get it back at closing. If nobody from that state is in the deal at closing, or the raise doesn’t close, that fee stays your cost. DoorRaise keeps none of it. Or pick the states your investors live in and pay each one up front. A few states set their fee by the amount raised there: we charge their most and refund the difference. For states you pay up front: Each state’s filing fee is non-refundable once someone from that state invests. After the raise ends, closed or not, we automatically refund the fee for every state where nobody invested, and any part of a fee that turned out lower. Escrow at Enterprise Bank & Trust is included: DoorRaise pays all of the escrow agent’s charges, including wire fees. You, the deal and investors pay none of them.
