Does a Syndication LLC Need to File a BOI Report in 2026?
No. A syndication LLC formed in the United States does not need to file a beneficial ownership information (BOI) report with FinCEN in 2026. FinCEN's March 2025 interim final rule exempted every entity created in the US, and a final rule issued on August 11, 2026 made that exemption permanent. Only certain companies formed under foreign law and registered to do business in a US state still report, and they do not report US persons.
This matters because a lot of advice written in 2024 still tells new LLC owners to file within 30 or 90 days. This post explains what changed, so you know which advice is out of date. Rules are as of October 2026.
What is the Corporate Transparency Act?
The Corporate Transparency Act is a federal law, 31 U.S.C. 5336, enacted on January 1, 2021 as part of the Anti-Money Laundering Act of 2020. It told FinCEN, a bureau of the Treasury, to collect information about the people who own or control small companies. FinCEN's rule, 31 CFR 1010.380, first applied to companies starting in 2024, which is why so much guidance from that year tells every new LLC to file.
For a syndication, that would have meant a report for the deal LLC and often for the sponsor's managing LLC, listing the people behind each.
What changed in 2025 and 2026?
The rules changed twice. FinCEN's BOI page lays out the steps.
| Date | What happened |
|---|---|
| March 21, 2025 | Following a Treasury announcement of March 2, FinCEN announced an interim final rule removing BOI reporting for US companies and US persons, and said it would not enforce BOI penalties against US citizens or domestic companies |
| March 26, 2025 | The interim final rule was published. "Reporting company" now means only an entity formed under foreign law and registered to do business in a US state |
| August 11, 2026 | FinCEN issued a final rule making the exemptions permanent and expanding relief for US persons |
| August 14, 2026 | The final rule took effect |
In its August 2026 release, FinCEN said the final rule permanently removes the requirement for US companies and US persons to report, and that it will delete information previously reported by US persons from its database. FinCEN also says US persons who obtained a FinCEN ID do not need to update or correct it.
Does my syndication LLC need to file anything with FinCEN?
Not if it was formed in a US state. Most syndication LLCs are formed in a state such as Delaware, Wyoming or the state where the building sits, so the answer for a typical deal is no.
| Your entity | BOI report to FinCEN in 2026? |
|---|---|
| Deal LLC formed in any US state | No |
| Sponsor's managing LLC formed in a US state | No |
| Investor's own LLC or trust formed in the US | No |
| Company formed abroad and registered to do business in a US state | Possibly, unless an exemption applies, and it does not report US persons |
If you filed a BOI report in 2024 or early 2025, you do not need to update it. Also check whether the state where you form or register the LLC has its own ownership disclosure rule, since the federal change does not answer that.
Which entities still have to file?
Only entities formed under the law of a foreign country that have registered to do business in a US state or tribal jurisdiction, and that do not qualify for one of the exemptions. Under the regulation, one that registers on or after March 26, 2025 files within 30 calendar days after notice that its registration is effective.
Even then, the rule exempts reporting the information of any US person who is a beneficial owner or company applicant. A foreign company owned by US sponsors would list no one under BOI. This could come up if a sponsor uses an entity formed outside the US to hold a co-investment, but it is rare in a single apartment deal. Ask counsel if it applies to you.
What do banks still ask for?
Opening the deal's bank account is a separate process. Under FinCEN's customer due diligence rule, 31 CFR 1010.230, banks identify the beneficial owners of a legal entity customer: each individual who owns 25% or more of its equity, and one individual with significant responsibility to control or manage it. The 2025 and 2026 BOI changes did not remove that.
So keep an owner list ready. For a syndication, that usually means the sponsor or managing member, plus any investor who will hold 25% or more of the deal LLC. Banks may also ask for the operating agreement and the tax ID. See getting an EIN for your apartment LLC and forming an LLC for a syndication.
Why does old advice still say to file?
Because it was true when it was written. Many articles, formation services and even some operating agreement templates from 2024 tell owners to file within 30 or 90 days, and some may carry clauses requiring members to provide BOI information. Those clauses can stay in place, but they no longer point to a federal filing for a US entity.
A good habit is to check the date on any compliance advice. Our syndication securities FAQ covers the filings that do still apply to a Rule 506 raise, such as Form D and state notices.

FAQ
Is the Corporate Transparency Act repealed?
No. The statute is still law. FinCEN's rules now exempt US companies and US persons from reporting under it.
What if I already filed a BOI report for my LLC?
You do not need to update or correct it. FinCEN said it will delete information previously reported by US persons.
Do investors need a FinCEN ID?
No. FinCEN IDs were optional, and US persons who have one are not required to update the information behind it.
Could the rule change again?
Any rule can change through a new rulemaking or a new law. As of October 2026, FinCEN's final rule is in effect, so check FinCEN's BOI page before relying on this.
