Private Placement Memorandum (PPM) for Real Estate: What It Includes and What It Costs
A private placement memorandum (PPM) is the disclosure document a sponsor gives investors in a private offering. It explains the property, the business plan, the sponsor, every fee, the conflicts of interest and the risks. The SEC says a PPM isn't strictly required, but federal antifraud rules apply to every private placement, so many real estate syndications use one. Specialist law firms typically charge $12,000 to $30,000 for a full package.
What is a private placement memorandum?
It's the offering document for a deal that isn't registered with the SEC. The SEC's investor bulletin on private placements puts it plainly: "Issuers may provide a document called a private placement memorandum or offering memorandum… This document is not required." A good PPM tells an investor everything they need to decide, in one place, and protects the sponsor by putting the risks in writing.
Is a PPM required?
It depends on who invests.
| Offering | Is a PPM or disclosure document required? |
|---|---|
| 506(c), accredited investors only | Not required, but antifraud rules apply to everything you say |
| 506(b), accredited investors only | Not required, but antifraud rules apply |
| 506(b) with any non-accredited investors | Disclosure documents and financial statement information are required |
| Regulation Crowdfunding or Regulation A | These use their own SEC filings (Form C or Form 1-A), not a PPM |
Even where it's optional, many syndication attorneys recommend one. Without it, your only written record of what investors were told may be your marketing.
What goes in a real estate PPM?
A typical apartment syndication PPM covers:
| Section | What it explains |
|---|---|
| Summary of terms | Raise amount, minimum investment, preferred return, profit split, hold period |
| The property and business plan | Location, units, condition, renovation plan, rent assumptions |
| The sponsor | Who runs the deal, their experience and their track record |
| Use of proceeds | Exactly where the money goes: purchase price, closing costs, reserves, renovations, fees |
| Fees and compensation | Acquisition, asset management, refinance and disposition fees, plus the promote |
| Conflicts of interest | Any way the sponsor or its affiliates benefit beyond the stated fees |
| Risk factors | Market, financing, interest rate, renovation, liquidity and sponsor risks |
| Distributions | How cash flow and sale proceeds are split, in what order |
| Tax considerations | K-1 reporting and other tax effects for investors |
| Subscription procedures | How to sign, verify accreditation and fund the investment |
The PPM comes with separate exhibits: the operating agreement, which is the binding contract for the LLC, and the subscription agreement, which each investor signs to buy in.
How much does a PPM cost?
Prices vary by firm and deal complexity:
| Source | Quoted price |
|---|---|
| Syndication Attorneys, PLLC | $15,000 to $30,000 for a complete Regulation D package with a PPM |
| PPM Lawyers, specialist firms (2026) | $12,000 to $25,000 |
| PPM Lawyers, large law firms (2026) | $50,000 to $75,000 or more, at $500 to $750+ an hour |
| PPM Lawyers, bargain providers (2026) | Under $5,000 |
| Terms.Law (2023) | $2,500 to $15,000 for the PPM alone |
Depending on the firm, entity formation, Form D and state notice filings, and investor verification may cost extra. See what it takes to syndicate an apartment deal.
What mistakes do sponsors make with PPMs?
- Copying another deal's PPM. Risks, fees and terms must match your deal.
- Putting projections in without assumptions. Show what has to happen for the projection to come true.
- Burying fees. List every fee in dollars as well as percentages. See syndication fees and the preferred return.
- Marketing that says more than the PPM. If a post promises something the PPM doesn't, the post can still be used against you.
How investors should read a PPM
Start with three sections: fees and compensation, conflicts of interest, and risk factors. Check how much of the sponsor's own money is in the deal, and whether the use of proceeds matches the price on the purchase contract. Remember that a PPM "typically [is] not reviewed by any regulator," according to Investor.gov. See how to vet a syndication before you invest.
