To syndicate an apartment deal in Oklahoma, you form the deal LLC (or register an outside LLC with the Oklahoma Secretary of State), raise under Rule 506(b) or 506(c), and file a Form D notice with a $250 fee through NASAA's EFD; DoorRaise's state data lists a $250 late fee for a late notice. For property tax, Oklahoma caps the yearly increase in a property's taxable fair cash value at 5%, but the cap stops protecting the value when the building changes hands, so the buyer's first bill can jump.

This is the Oklahoma version of our general syndication guide. It covers what changes when the building, the investors or both are in Oklahoma. It is general information, not legal advice.

What is the Oklahoma Rule 506 notice filing?

Oklahoma treats Rule 506 interests as federal covered securities and asks for a notice: a copy of the SEC Form D and the fee, filed through the NASAA Electronic Filing Depository (EFD) for the Oklahoma Department of Securities. DoorRaise's state data, from NASAA's fee schedule, lists the fee as $250 and a $250 late fee for a late notice. File within 15 days of the first sale to an Oklahoma investor. EFD shows the exact amount before you pay, and that amount wins. See blue sky notice filings and blue sky fees by state.

How do you form the deal LLC in Oklahoma?

An Oklahoma LLC is formed by filing Articles of Organization with the Oklahoma Secretary of State; the published fee is $100. Each year the LLC files an annual certificate, with a $25 fee, on the anniversary of its formation. An LLC formed elsewhere that will own Oklahoma property registers as a foreign LLC. Confirm fees on the Secretary of State's site before you file. See forming an LLC for a syndication and keeping the LLC in good standing.

What Oklahoma landlord and tenant rules should a sponsor know?

The Oklahoma Residential Landlord and Tenant Act (Title 41 of the Oklahoma Statutes) governs residential leases. For unpaid rent, a landlord gives a 5 day written notice before ending the lease and filing a forcible entry and detainer case (41 O.S. 131). Security deposits are held in an escrow account in a bank in Oklahoma, and the landlord returns the deposit, minus itemized deductions, within 45 days after the tenancy ends and the tenant makes a written demand (41 O.S. 115). Your property manager should use Oklahoma lease forms and keep the deposit account separate.

How does Oklahoma property tax work for an apartment building?

Each county assessor values real property at fair cash value and applies an assessment ratio between 11% and 13.5%, set by the county. Under the Oklahoma Constitution (Article 10, Section 8B), the fair cash value of a parcel cannot rise more than 5% a year, but the cap does not hold through a transfer: after a sale, the assessor can reset the value to market. For a building the seller held for years, the reset can raise the tax bill sharply. Underwrite taxes from your purchase price, the county's ratio and local millage, not the seller's bill. See property tax reassessment in apartment underwriting and appealing property tax on an apartment building.

Does Oklahoma tax the deal LLC or its investors?

Oklahoma taxes income earned in the state, and a pass through entity may have to withhold for nonresident owners or file a composite return. Ask your CPA early; the investor side is in state tax returns for nonresident syndication investors.

How DoorRaise fits in

DoorRaise helps sponsors raise equity for apartment buildings from their friends and followers under Rule 506(b) or 506(c), and verifies that every investor is accredited before they sign. Investors fund by wire into the deal's escrow account at Enterprise Bank & Trust. By default DoorRaise files the notice in the property's state; on new deals, the first investor from another state pays that state's filing fee by card when they sign, later investors from that state pay nothing, and the sponsor never fronts it. Sponsors pay a $1,500 setup fee (non-refundable) and a flat $5,000 a year administration fee; see pricing or how it works.
