An apartment syndication LLC files Form 1099-NEC for payments for services it makes in its business to contractors that are not corporations (and to attorneys, even if they are corporations), and Form 1099-MISC for certain other payments, such as rent it pays. For tax years beginning after 2025, the IRS's instructions for Forms 1099-MISC and 1099-NEC raise the general reporting threshold from $600 to $2,000, with inflation adjustments starting in 2027. Investors do not get 1099s for their share of the deal; they get K-1s. The practical work is deciding who files for vendors the property manager pays, collecting a Form W-9 from each vendor before the first payment, and filing 1099-NEC by January 31.

This guide covers what the deal company reports, how the property manager fits in, and the deadlines. For the investor side, see the K-1 in a real estate syndication.

What payments does the deal company report?

Payment Form Usually reportable?
Contractor services (repairs, landscaping, cleaning) to an individual or LLC taxed as a partnership 1099-NEC Yes, at or above the threshold
Payments to a corporation (including an LLC taxed as a C or S corporation) for services None Generally no, except attorneys and some medical payments
Legal fees to a law firm 1099-NEC Yes, even if the firm is a corporation
Rent the deal company pays (for example, an off-site storage lease) 1099-MISC Yes, at or above the threshold, unless paid to a corporation
Payments for merchandise, utilities or freight None No
Investor distributions and allocations K-1 Not on a 1099

The instructions list more exceptions and special cases. When in doubt, collect the W-9 and ask your CPA.

How does the property manager fit in?

Two separate questions:

  • Rent the manager collects for the owner. The IRS instructions say rent paid to real estate agents or property managers is not reported by tenants, but the agent or manager must use Form 1099-MISC to report the rent it pays over to the property owner. Expect a 1099-MISC from the manager each year in the deal company's name.
  • Vendors the manager pays from the owner's money. When a manager pays contractors on the owner's behalf, the filing can be done by the manager as the payor or by the owner. Put in the management agreement who files, who collects W-9s and how vendor data is shared at year end, so nothing is filed twice or missed. See property management companies.

Do sponsor fees get a 1099?

It depends on who receives them and how. Amounts the deal company pays to a partner for services can be guaranteed payments reported on the partner's K-1. Fees paid to an affiliate that is not a partner, such as a separate management company, can be reportable on 1099-NEC if the affiliate is not a corporation. Decide the treatment with your CPA when you set up the fee structure. See how sponsors get paid.

Deadlines and filing

  • Form 1099-NEC: file with the IRS and furnish to recipients by January 31.
  • Form 1099-MISC: furnish to recipients by January 31 in most cases; file with the IRS by February 28 on paper or March 31 electronically.
  • Electronic filing: required when the company files 10 or more information returns in the year, counting all types together. The IRS's free Information Returns Intake System (IRIS) can be used.
  • Weekends and holidays: the due date moves to the next business day.

W-9s and backup withholding

Collect a Form W-9 from every vendor before the first payment. If a vendor will not give a taxpayer identification number, the payer may have to withhold federal tax from payments (backup withholding) and send it to the IRS. See the IRS Form W-9 page.

How DoorRaise fits in

DoorRaise helps sponsors raise equity for apartment buildings with 5+ units from their friends and followers under Rule 506(b) or 506(c), collects each investor's tax details at onboarding and delivers their K-1s once the deal's accountant prepares them. Escrow is at Enterprise Bank & Trust, an FDIC-insured bank, and investors fund by wire only. See pricing. The deal's own accountant handles bookkeeping and filings, or the sponsor can add the optional Property Books & Taxes service. DoorRaise is not a law firm, broker-dealer, investment adviser, funding portal or bank.

FAQ

Do syndication investors get a 1099?

Not for their share of the deal's income, losses and distributions, which are reported on Schedule K-1. An investor who also provides paid services to the deal, as a contractor, could get a 1099-NEC for that work.

Does the $2,000 threshold apply to 2025 payments?

No. The higher threshold applies to tax years beginning after 2025. Payments made in 2025 use the $600 threshold.

Do I send a 1099 to the property management company?

If it is not a corporation and the deal company pays it management fees at or above the threshold, generally yes, on Form 1099-NEC. Many management companies are corporations or LLCs taxed as corporations, which are generally exempt. Check its W-9.

What happens if we miss the deadline?

The IRS charges penalties per late or missing information return, which increase the later you file. File as soon as you can.

Next step: see the rest of the deal's tax calendar in the K-1 in a real estate syndication.
