How to Close a Deal LLC's Bank Account After a Sale
On this page
After the property sells and the investors are paid, the LLC still has an account, a final tax return to file and records to keep. Closing the account too soon strands a refund or a late bill. This post gives the order of steps, with Mercury's closing requirements from its own help page. It is general information; your CPA and attorney set the plan. Read November 3, 2026.
The order that works
- Close the sale and pay the lender. The closing agent pays off the loan and costs; net proceeds go where the closing statement and your plan say. For a like-kind exchange, see 1031 account vs LLC account.
- Pay final bills. Property taxes, utilities, the manager's final fee, legal and accounting. Late invoices arrive for months.
- Hold back a final reserve. Ask your CPA and attorney how much to keep for the final tax return, a final audit request or a late invoice, and for how long.
- Make the final distributions in the order the operating agreement sets, and send each investor a notice. See selling a syndicated apartment: the wind-down checklist.
- Tell the CPA the account is closing so the final K-1s and return use the right dates. See K-1s in a syndication.
- Download everything. Statements, transaction exports, tax documents and approvals.
- Close the account.
Closing at Mercury
Mercury's help page says you can start closing from the dashboard only when the account has no pending transactions and the total Mercury balance is $0.00, which means moving funds out of checking, savings and any other Mercury accounts. You must be a beneficial owner on the account, and any Mercury credit balance must be paid first. The steps are on the web, not the mobile app: Settings, Company Profile, then the Close Account section. To close only one checking or savings account, use the Manage menu on that account; Mercury says the closed account can no longer transact but earlier statements can still be seen.
Closing at Ramp
Ramp's pages that I read do not describe a closing flow, so ask Ramp support. Expect to settle card balances and bill payments, move out the balance and cancel any recurring payments, and keep your records.
Do not forget
- Automatic payments (software, insurance, utilities) still pull from the old account until cancelled.
- Stale checks may clear after you close. Ask the bank how it handles them.
- Records: ask your CPA and attorney how long to keep the account records.
- The entity: closing the account does not dissolve the LLC. Ask your attorney about the final filings.
Next deal
If you start another deal, open a new account in its own LLC. DoorRaise suggests Ramp when a deal keeps $25,000 or more and Mercury under that; the sponsor chooses. Open a Mercury account or apply for Ramp. DoorRaise may earn a referral reward if you sign up through these links: for Mercury, the deal company gets $250 and DoorRaise gets $250 once the account receives $10,000 within 90 days, and Ramp may pay a referral reward. A new deal LLC cannot open Ramp before closing (Ramp needs at least $25,000 in cash), so it opens Mercury first to receive the closing funds and can move to Ramp after closing.
How DoorRaise fits in
DoorRaise helps sponsors raise equity for apartment buildings from their friends and followers under Rule 506(b) or 506(c), and verifies that every investor is accredited. Investors' purchase money goes into escrow at Enterprise Bank & Trust by wire only, and wire instructions appear once escrow is open. The deal's operating account at Mercury or Ramp is a separate account that you open for the LLC and use after closing. Fees: $1,500 to set up (non-refundable), then $5,000 a year from closing (only if the deal closes). See pricing or how it works.
FAQ
Can I close the account right after the sale?
You can only close Mercury once the balance is zero and nothing is pending. Wait for final bills and your CPA's advice on a reserve.
Do I need the account to file the final return?
The CPA needs the records. Download statements first. Ask your CPA how long to keep them.
Does closing the account end the LLC?
No. Closing a bank account and dissolving an LLC are separate steps. Ask your attorney.
