To open a bank account for a real estate LLC, form the LLC, get its EIN, sign the operating agreement, and then apply with the formation papers, the IRS EIN letter, the operating agreement and government ID for each person who owns 25% or more plus one person who controls the company. Names, addresses and ownership must match across every document. This guide is for any real estate LLC; for the syndication-specific rules, read syndication LLC bank account setup.

Step by step

  1. File the LLC with the state where it will be organized. Keep the certificate or articles. See how to form the LLC.
  2. Get the EIN for free from the IRS. See the free EIN steps.
  3. Sign the operating agreement. Banks want to see who manages the company and who may sign.
  4. Gather owner details. Name, date of birth, address, ID number and ownership percent for each owner of 25% or more, and one control person.
  5. Choose the bank. See how to choose a business bank account.
  6. Apply. Online providers take applications by form and document upload; a branch may ask you to come in. Mercury and Ramp each publish their own sign-up steps.
  7. Fund and set up access. Make the first deposit, add signers and set approval rules.

What the bank usually asks for

Document Notes
Articles of organization or formation certificate From the state; some banks also want good standing
EIN letter (CP 575 or a confirmation) Must match the legal name
Operating agreement Shows managers, members, signing authority
Photo ID for each signer and owner of 25% or more Passport or driver's license
Business address and expected activity A registered agent address alone may not be accepted as the business address

Why applications stall

  • Name mismatch (LLC vs L.L.C., a missing comma, a trade name).
  • Ownership percentages that do not add up in the operating agreement.
  • A new LLC with a state that has not yet shown the filing online.
  • Missing owner of 25% or more.
  • Applying before the EIN letter arrives.

After approval

Add a second approver for payments over a set amount, set a reserve account, and connect the account to your bookkeeping. Keep the LLC's money out of personal accounts. See separating personal and deal money.

Worked example (illustrative)

Oak Row LLC is filed on Monday, receives its EIN the same day online, and the two members sign the operating agreement on Tuesday. On Wednesday they apply online with the certificate, EIN letter and operating agreement uploaded, plus IDs. Timing varies by provider and bank. Names are hypothetical.

How DoorRaise fits in

For a DoorRaise deal, DoorRaise forms the LLC, obtains the EIN and later helps the sponsor open the deal's Mercury account in the LLC's name; investor funds for the purchase sit in escrow at Enterprise Bank & Trust until closing, and investors send wires only. Fees: $1,500 to set up (non-refundable), then $5,000 a year from closing. See the bank account feature.
