To syndicate an apartment deal in Arkansas, you form the deal LLC (or register an outside LLC with the Arkansas Secretary of State), raise under Rule 506(b) or 506(c), and file a Form D notice through NASAA's EFD. DoorRaise's state data lists the fee as 0.1% of the amount offered in Arkansas, at least $100 and at most $500, and the late fees are steep: $500 after 15 days and $1,000 after a year. Put the 15 day deadline on the calendar the day the first Arkansas investor signs.

This is the Arkansas version of our general syndication guide. It covers what changes when the building, the investors or both are in Arkansas. It is general information, not legal advice.

What is the Arkansas Rule 506 notice filing?

Arkansas treats Rule 506 interests as federal covered securities and asks for a notice: a copy of the SEC Form D and the fee, filed through the NASAA Electronic Filing Depository (EFD) for the Arkansas Securities Department. DoorRaise's state data, from NASAA's fee schedule, lists the fee as 0.1% of the amount offered in Arkansas, at least $100 and at most $500, with a $500 late fee after 15 days and $1,000 after 365 days. EFD shows the exact amount before you pay, and that amount wins. See blue sky notice filings and blue sky fees by state.

How do you form the deal LLC in Arkansas?

An Arkansas LLC is formed by filing Articles of Organization with the Arkansas Secretary of State; the published online fee is $45. Each year the LLC files a franchise tax report and pays $150, due May 1. An LLC formed elsewhere that will own Arkansas property registers as a foreign LLC. Confirm fees with the Secretary of State before you file. See forming an LLC for a syndication and keeping the LLC in good standing.

What Arkansas landlord and tenant rules should a sponsor know?

The Arkansas Residential Landlord-Tenant Act of 2007 (Ark. Code 18-17-101 and following) and the security deposit statutes (Ark. Code 18-16-301 and following) govern most leases. A landlord with more than five units may collect a deposit of no more than two months' rent and must return it, with an itemized list of deductions, within 60 days after the tenancy ends. Arkansas added basic habitability standards in 2021, and evictions run through an unlawful detainer case after a written notice to quit. Use current Arkansas lease forms and notices.

What does Arkansas charge when an apartment building sells?

Arkansas charges a real property transfer tax of $3.30 per $1,000 of value, usually split or assigned by the contract. Put your share in sources and uses.

How does Arkansas property tax work for an apartment building?

Arkansas assesses real property at 20% of market value, and counties reappraise every three or five years depending on their size. Amendment 79 limits yearly assessment increases: 5% for a homestead and 10% for other real property such as apartments, and a sale gives the assessor fresh evidence of value at the next reappraisal. Underwrite taxes from your purchase price times 20% and the local millage. See property tax reassessment in apartment underwriting.

Does Arkansas tax the deal LLC or its investors?

Arkansas taxes income earned in the state, and a partnership may have to withhold for nonresident partners or file a composite return. Ask your CPA early; the investor side is in state tax returns for nonresident syndication investors.

How DoorRaise fits in

DoorRaise helps sponsors raise equity for apartment buildings from their friends and followers under Rule 506(b) or 506(c), and verifies that every investor is accredited before they sign. Investors fund by wire into the deal's escrow account at Enterprise Bank & Trust. By default DoorRaise files the notice in the property's state; on new deals, the first investor from another state pays that state's filing fee by card when they sign, later investors from that state pay nothing, and the sponsor never fronts it. Sponsors pay a $1,500 setup fee (non-refundable) and a flat $5,000 a year administration fee; see pricing or how it works.
