To syndicate an apartment deal in New Mexico, you form the deal LLC (or register an outside LLC with the New Mexico Secretary of State), raise under Rule 506(b) or 506(c), and file a Form D notice with a $350 fee through NASAA's EFD within 15 days of your first New Mexico sale. The late fees are high: DoorRaise's state data lists $700 if the notice is filed 16 to 25 days after the first sale and $1,050 after 25 days. On the tax side, New Mexico caps yearly increases in residential property values at 3%, but the cap resets when the building sells.

This is the New Mexico version of our general syndication guide. It covers what changes when the building, the investors or both are in New Mexico. It is general information, not legal advice.

What is the New Mexico Rule 506 notice filing?

New Mexico treats Rule 506 interests as federal covered securities and asks for a notice: a copy of the SEC Form D and the fee, filed through the NASAA Electronic Filing Depository (EFD) for the Securities Division of the New Mexico Regulation and Licensing Department. DoorRaise's state data, from NASAA's fee schedule, lists the fee as $350, with a $700 late fee if filed 16 to 25 days after the first sale and $1,050 after 25 days. EFD shows the exact amount before you pay, and that amount wins. See blue sky notice filings and blue sky fees by state.

How do you form the deal LLC in New Mexico?

A New Mexico LLC is formed by filing Articles of Organization with the New Mexico Secretary of State; the published fee is $50. New Mexico does not require an annual report from an LLC, though you must keep a registered agent. An LLC formed elsewhere that will own New Mexico property registers as a foreign LLC. Confirm fees with the Secretary of State before you file. See forming an LLC for a syndication and foreign qualification in the property state.

What New Mexico landlord and tenant rules should a sponsor know?

The Uniform Owner-Resident Relations Act (NMSA 47-8-1 and following) governs residential leases. A landlord must return the deposit, with an itemized list of deductions, within 30 days after the tenancy ends, and a deposit above one month's rent on a lease shorter than a year earns interest for the tenant (47-8-18). For unpaid rent, the landlord gives a 3 day written notice before filing a petition for restitution (47-8-33). Your property manager should use New Mexico forms.

How does New Mexico property tax work for an apartment building?

New Mexico taxes property on one third of its value. For residential property, the taxable value can rise no more than 3% a year while the same owner holds it, but after a change of ownership the county assessor can reset it to current market value (NMSA 7-36-21.2). For a building the seller held for years, the reset can raise the tax bill sharply. Underwrite taxes from your purchase price, not the seller's bill. See property tax reassessment in apartment underwriting.

Does New Mexico tax the sale or the deal?

New Mexico has no real estate transfer tax, and residential rents are generally not subject to its gross receipts tax. New Mexico taxes income earned in the state, and a partnership may have to withhold for nonresident partners. Ask your CPA early; the investor side is in state tax returns for nonresident syndication investors.

How DoorRaise fits in

DoorRaise helps sponsors raise equity for apartment buildings from their friends and followers under Rule 506(b) or 506(c), and verifies that every investor is accredited before they sign. Investors fund by wire into the deal's escrow account at Enterprise Bank & Trust. By default DoorRaise files the notice in the property's state; on new deals, the first investor from another state pays that state's filing fee by card when they sign, later investors from that state pay nothing, and the sponsor never fronts it. Sponsors pay a $1,500 setup fee (non-refundable) and a flat $5,000 a year administration fee; see pricing or how it works.
